This website is operated by FLOWRA LTD, trading as NERRA (“NERRA”, “we”, “us” or “our”).

These Terms of Service (“Terms”) apply to your access to and use of nerraactive.com, including browsing the website, creating an account, submitting content and purchasing products from us.

Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer our products and services.

When you browse or use the website, the provisions concerning website use apply to you. When you submit an order, the provisions concerning orders, payment, delivery, cancellation, returns and consumer rights also apply.

These Terms should be read together with our:

  • Privacy Policy;
  • Shipping & Delivery Policy;
  • Returns & Refunds Policy;
  • Payment Methods information;
  • Cookie Policy or Cookie Preferences; and
  • Any promotion-specific conditions displayed on the website.

Nothing in these Terms limits or excludes any mandatory rights available to you under applicable consumer law.

FLOWRA LTD is not currently registered for VAT. If our VAT status changes, relevant website and tax information will be updated.

2. Eligibility and Accounts

You must have the legal capacity to enter into a contract when placing an order.

If you are under the age of majority where you live, an order should be placed or authorised by a parent or legal guardian.

When using the website or placing an order, you agree to provide information that is accurate, current and complete.

If you create a customer account, you are responsible for:

  • Keeping your login details secure;
  • Restricting unauthorised access to your account;
  • Reviewing activity carried out through your account; and
  • Informing us promptly if you believe your account has been compromised.

You must not sell, transfer or deliberately allow another person to misuse your account.

Product colours and appearance may vary slightly because of lighting, photography, device displays and screen settings.

Such minor display differences do not affect your statutory rights where a product is faulty, materially different from its description or otherwise does not comply with applicable consumer law.

Product information, ranges and availability may be updated from time to time. Products are subject to availability.

Goods supplied to UK consumers must meet applicable legal requirements, including being of satisfactory quality, fit for purpose and as described. These rights cannot be excluded through website terms.

4. Placing and Accepting Orders

When you submit an order, you make an offer to purchase the products in your cart.

An automated order acknowledgement confirms that we have received your order. It does not necessarily mean that we have accepted it.

Unless we tell you otherwise, a contract is formed when we send an order acceptance or dispatch confirmation.

We may decline or cancel an order before acceptance where there is a reasonable basis, including where:

  • A product is unavailable;
  • Product, availability or pricing information contains an obvious error;
  • Payment cannot be authorised;
  • The delivery address is invalid or outside our available delivery area;
  • We reasonably suspect fraud or unauthorised activity;
  • The order appears to be for unauthorised commercial resale;
  • A platform, payment or delivery provider prevents fulfilment; or
  • We are required to do so by law.

If we cancel an order after taking payment, we will return the affected payment without undue delay.

We will not cancel an accepted consumer order without a valid reason. Consumer contract terms should not give a business an unrestricted right to cancel while imposing substantially stricter obligations on the customer.

Please check product selection, colour, quantity, delivery address and contact details before submitting your order.

We will try to accommodate order changes, but cannot guarantee that a change or cancellation is possible once processing or dispatch has begun.

5. Prices, Currency and Payment

The price charged will normally be the price shown when you submit your order.

Prices may be displayed in different currencies depending on your market or website settings.

Before completing an order, the checkout will display:

  • Product prices;
  • Applicable discounts;
  • Delivery charges;
  • Applicable taxes included or charged through checkout; and
  • The total payable to NERRA.

If there is an obvious pricing or technical error, we may contact you before accepting the order. You may confirm the corrected price or cancel the affected order.

You confirm that:

  • You are authorised to use the selected payment method;
  • The information provided is accurate;
  • The payment provider may conduct security and fraud checks; and
  • You will pay the amount displayed and confirmed at checkout.

Payments may be processed through third-party services such as Shopify Payments, PayPal, Shop Pay or other payment methods shown at checkout.

6. Taxes, Duties and Import Charges

Where applicable, taxes and import-related charges are included in the website price or the amount displayed during checkout.

Customers should not normally be asked to pay additional import duties, taxes, customs charges or handling fees when an order is delivered.

If a carrier, postal service or customs authority unexpectedly requests an additional charge, please do not pay immediately. Contact hello@nerraactive.com with:

  • The notice or payment request; and
  • Any supporting photographs or documents.

We will review the issue and provide appropriate guidance.

This does not prevent a government or customs authority from exercising powers available to it under applicable law.

7. Promotions and Special Offers

From time to time, NERRA may offer:

  • Quantity discounts;
  • Promotional discount codes;
  • Free or discounted delivery;
  • Complimentary gifts;
  • Product bundles; or
  • Other time-limited offers.

The specific terms of each promotion will be displayed through the relevant:

  • Promotional page;

  • Offer notice.

Unless stated otherwise:

  • Promotions apply only to eligible products and markets;
  • Eligibility requirements must be met in the same order;

  • Promotions cannot be applied retrospectively;
  • Promotions have no cash alternative;

Quantity-based offers

NERRA may operate quantity-based promotions, including offers such as “4 for 3” or “7 for 5”.

  • The quantity required;
  • Which item or items are discounted;
  • Whether other discounts can be combined;
  • The markets in which the offer applies; and
  • The promotional period.

These offers are promotional campaigns and are not permanent contractual entitlements.

Free standard delivery

Free standard delivery may be available when an order reaches the qualifying value shown on the website or at checkout.

Where the current qualifying value is $50, the threshold is calculated after applicable product discounts unless the offer notice states otherwise.

Free delivery:

  • Applies only to eligible markets;
  • Applies only to the qualifying standard delivery method shown at checkout;
  • Does not normally include express, priority or upgraded delivery; and
  • May be unavailable for certain addresses or products where clearly disclosed.

Complimentary gifts

NERRA may occasionally include a complimentary gift with qualifying orders.

The gift may vary between promotions. The website will identify the gift or describe the gift category and any applicable conditions when the offer is active.

Complimentary gifts are:

  • Subject to availability;
  • Limited as stated in the offer;
  • Available only during the stated promotional period or while stocks last;
  • Not exchangeable for cash; and
  • Not normally selectable or substitutable unless stated otherwise.

If an entire qualifying order is returned, we may request that an unused complimentary gift is also returned.

Any deduction or adjustment relating to an unreturned gift will be made only where:

  • The condition was clearly disclosed before purchase;
  • The adjustment is permitted by applicable law; and
  • The amount is fair and proportionate.

Google Merchant Center promotions must be redeemable at checkout or purchase, clearly describe free gifts and restrictions, and usually expire within 183 days when formally submitted through its promotions programme.

8. Shipping and Delivery

We use third-party shipping, postal, logistics and fulfilment providers.

Delivery estimates shown on our website or at checkout are estimates unless expressly confirmed as guaranteed.

Delivery may be affected by matters outside our reasonable control, including:

  • Carrier disruption;
  • Customs processing;
  • Weather;
  • Public holidays;
  • Local service interruptions;
  • Border controls; or
  • Inaccurate delivery information provided by the customer.

We remain responsible for performing our obligations under the sales contract. Nothing in this section removes any responsibility that cannot legally be excluded.

Unless another period has been agreed, UK distance-selling rules generally require goods to be delivered within 30 days.

You must provide an accurate and complete delivery address. Contact us promptly if you notice an error.

Risk in the products normally passes to you when the goods are delivered to:

  • You; or
  • A person identified by you to receive them.

Risk does not pass merely because the goods have been handed to the carrier selected by us.

9. Cancellation, Returns and Refunds

Your cancellation, return and refund rights are explained in our Returns & Refunds Policy.

For eligible online purchases, UK consumers generally have:

  • 14 days after delivery to notify the seller that they wish to cancel; and
  • A further 14 days to send the goods back.

Standard delivery charges may also need to be refunded where applicable.

We may reject or reduce a change-of-mind refund only where permitted by applicable law and our published policy, such as where an item:

  • Has been used beyond what is reasonably necessary to inspect it;
  • Has been damaged after delivery;
  • Is excluded from cancellation rights by law; or
  • Fails to meet a lawful and clearly disclosed hygiene exception.

Nothing in these Terms limits rights relating to products that are faulty, damaged, incorrect or not as described.

The website and its content may include:

You must not, without appropriate permission:

  • Use NERRA branding as your own;
  • Sell or license website content;
  • Remove rights notices;

Nothing in these Terms restricts uses that are expressly permitted by applicable law.

  • Customer support providers.

Third-party services may be governed by their own terms and privacy policies.

We are not responsible for third-party websites or services that we do not control, but this does not remove any responsibility NERRA has for performing its own contractual obligations.

12. Shopify’s Role

Shopify provides the ecommerce platform used to operate the NERRA store.

Shopify is not the seller of NERRA products.

The sales contract for products purchased from this website is between:

The customer and FLOWRA LTD, trading as NERRA.

Shopify may separately process personal information or provide payment, checkout, fraud-prevention and platform services, as described in our Privacy Policy and Shopify’s own policies.

13. Privacy and Cookies

Our Privacy Policy explains how we collect, use, share, retain and protect personal information.

Our website may use essential, analytics and advertising technologies. Where required, non-essential technologies are activated only after appropriate consent.

You can review or change relevant choices through the Cookie Preferences link where available.

14. Reviews, Feedback and Customer Content

You may submit reviews, comments, suggestions, photographs or other content where the website allows it.

You confirm that:

  • You own the content or have permission to submit it;
  • The content is accurate and not misleading;
  • It does not infringe another person’s rights;
  • It does not contain unlawful, abusive or harmful material; and

We will not use a customer’s image in paid advertising where additional permission is legally required without obtaining that permission.

15. Errors and Website Information

We take reasonable steps to keep the website available, accurate and secure.

However, we cannot guarantee that the website will always be:

  • Uninterrupted;
  • Free from technical faults;
  • Available in every region; or
  • Compatible with every device.

We may temporarily suspend access for maintenance, security, technical or operational reasons.

Nothing in this section excludes obligations relating to products purchased from us or other rights that cannot lawfully be excluded.

19. Product and Consumer Rights

Nothing in these Terms excludes or limits responsibility for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Faulty goods;
  • Goods that are not as described;
  • Goods that are not of satisfactory quality;
  • Goods that are not fit for purpose; or

Where you purchase as a consumer, your mandatory consumer rights take priority over any conflicting term.

20. Limitation of Liability

We are responsible for losses that are a reasonably foreseeable result of our breach of contract or failure to use reasonable care and skill.

We are not responsible for losses that were not reasonably foreseeable when the contract was formed.

If you use products or the website mainly for personal and non-commercial purposes, exclusions concerning business losses do not affect your consumer rights.

To the extent permitted by law, we are not responsible for business losses such as:

  • Loss of profit;

The remaining provisions will continue to apply.

24. No Waiver

If we do not immediately enforce a provision, this does not mean that we waive the right to enforce it later.

A waiver concerning one event does not automatically apply to another event.

Nothing in this section removes a mandatory right to use another competent court or dispute-resolution process.

Updated Terms will apply prospectively to future website use and future orders.
