Promotions Terms

These Promotions Terms explain the conditions that apply to promotional offers made available by NERRA through nerraactive.com.

Promotions may include:

• Quantity-based offers;
• First-order discounts;
• Promotional discount codes;
• Complimentary gifts;
• Free or discounted shipping;
• Product bundles;
• Product-specific discounts; or
• Other limited-time offers.

Each promotion is available only during the period and under the conditions displayed on the relevant website announcement, promotional banner, product page, promotional page, cart, checkout or offer notice.

These Promotions Terms should be read together with NERRA’s:

• Terms of Service;
• Shipping & Delivery Policy;
• Returns & Refunds Policy;
• Payment Methods information; and
• Any additional conditions displayed for the relevant promotion.

Nothing in these Promotions Terms limits or excludes any mandatory rights available under applicable consumer law.

1. Promotion Provider

The registered office is not a retail store, customer service location or return address.

2. Promotion Period

Each promotion is available only during the promotional period displayed in the relevant:

• Website announcement;
• Promotional banner;
• Product page;
• Promotional landing page;
• Cart;
• Checkout; or
• Offer notice.

Unless expressly stated otherwise, promotions begin and end according to the time recorded by NERRA’s website and checkout systems.

A promotion may end earlier where:

• Eligible products sell out;
• Complimentary gifts become unavailable;
• A technical, pricing or promotional error is identified;
• Fraud or deliberate misuse is detected;
• A payment, platform or fulfilment provider prevents the promotion from operating;
• Legal or regulatory requirements require a change; or
• Ending or correcting the promotion is otherwise reasonably necessary.

Ending or changing a promotion will not normally affect an order that has already been accepted and correctly qualified for the offer.

Promotions are temporary and do not create a permanent entitlement to any particular discount, gift, shipping benefit or promotional price.

3. Eligible Markets

A promotion may be available in some or all of the countries to which NERRA currently delivers:

• United Kingdom;
• United States;
• Canada;
• Australia;
• New Zealand; and
• Germany.

A promotion may not be available in every market.

Eligibility may depend on:

• Delivery country;
• Billing country;
• Checkout currency;
• Product availability;
• Payment method;
• Order value;
• Customer eligibility;
• Shipping method; and
• The conditions displayed for the particular promotion.

The promotion and discount displayed in the cart or at checkout determine whether an order qualifies.

4. Eligible Products

Promotions apply only to products clearly identified as eligible.

Eligible products may be identified through:

• A promotional collection;
• Product-page messaging;
• Promotional labels or badges;
• A website announcement or banner;
• Cart messaging;
• Checkout messaging; or
• Another promotional notice.

Products excluded from a promotion will not count towards the required quantity or qualifying merchandise subtotal.

All promotions are subject to product availability.

Adding a product to the cart does not reserve stock or guarantee that the promotion will remain available until checkout is completed.

5. 4 for 3 Offer

When the 4 for 3 promotion is active, customers must add four eligible products to the same order.

The lowest-priced eligible product in the qualifying group will be discounted to zero.

Unless the relevant offer notice states otherwise:

• All four eligible products must be added to the same cart;
• The quantity discount is applied automatically in the cart or at checkout;
• No quantity-offer discount code is required;
• Eligible colours and styles may normally be mixed;
• The lowest-priced eligible product becomes the free product;
• Excluded products do not count towards the required quantity;
• The offer cannot be applied retrospectively to a completed order;
• The offer has no cash alternative; and
• The offer applies only while it is actively displayed on the website, cart or checkout.

If more than four eligible products are added, the discount will be calculated according to the active promotional configuration displayed in the cart or at checkout.

6. 7 for 5 Offer

When the 7 for 5 promotion is active, customers must add seven eligible products to the same order.

The two lowest-priced eligible products in the qualifying group will be discounted to zero.

Unless the relevant offer notice states otherwise:

• All seven eligible products must be added to the same cart;
• The quantity discount is applied automatically in the cart or at checkout;
• No quantity-offer discount code is required;
• Eligible colours and styles may normally be mixed;
• The two lowest-priced eligible products become the free products;
• Excluded products do not count towards the required quantity;
• The offer cannot be applied retrospectively to a completed order;
• The offer has no cash alternative; and
• The offer applies only while it is actively displayed on the website, cart or checkout.

7. Combining Quantity Offers

The 4 for 3 and 7 for 5 offers cannot both apply to the same group of products.

A product cannot normally be counted more than once towards overlapping quantity-based offers.

Where an order could qualify for more than one quantity-based promotion, the applicable offer will be the discount calculated and displayed by the cart or checkout.

The final quantity discount shown before payment is the quantity discount that applies to the order.

8. First-Order 10% Discount

NERRA may offer eligible new customers a 10% discount on their first order.

Unless the relevant offer notice states otherwise, the first-order discount:

• Is available only to eligible new customers;
• Is limited to one use per eligible customer;
• May require email registration or another qualifying action;
• May require a promotional code;
• Applies only while the offer is active;
• Cannot be applied retrospectively after an order has been completed;
• Has no cash alternative;
• Does not normally apply to gift cards, shipping charges or taxes;
• May exclude certain products or collections;
• May be subject to a minimum order value; and
• Cannot be transferred, sold or exchanged.

NERRA may use reasonable measures to determine eligibility, including checking:

• Customer account details;
• Email address;
• Previous orders;
• Billing or delivery information;
• Discount-use history; and
• Other relevant checkout information.

Creating multiple accounts or using different contact details to obtain the first-order discount more than once may be treated as misuse of the promotion.

9. Combining the First-Order Discount With Quantity Offers

Where NERRA’s checkout is configured to permit the combination, an eligible 10% first-order discount may be combined with an active 4 for 3 or 7 for 5 quantity offer.

The combination applies only where:

• The customer qualifies for the first-order offer;
• The first-order offer is active;
• The relevant quantity offer is active;
• All required eligible products are added to the same order;
• Any required discount code is entered correctly;
• The discounts are configured to combine at checkout; and
• The cart or checkout confirms that both discounts have been applied.

The discounts are normally calculated in the following order:

1. The applicable quantity-based product discount is applied first;
2. The eligible 10% first-order discount is then calculated against the qualifying merchandise subtotal after the quantity discount has been applied;
3. Free-shipping eligibility is then assessed using the merchandise subtotal remaining after all applicable product and order discounts.

For example:

Four eligible products total $80 before discounts.
The 4 for 3 promotion reduces the merchandise subtotal to $60.
The eligible 10% first-order discount reduces the subtotal by a further $6.
The discounted merchandise subtotal is therefore $54.

If the cart or checkout does not display both discounts, the combination is not available for that order.

The discounts displayed at the final stage of checkout are the discounts that apply.

10. Other Discount Combinations

Unless expressly stated otherwise, promotions and discount codes cannot be combined.

A quantity-based offer may not normally be combined with:

• Another quantity-based offer applying to the same products;
• Another product discount applying to the same products;
• An employee, affiliate or partner discount;
• Another promotional code; or
• Another offer identified as non-combinable.

The eligible first-order 10% discount is an exception only where the checkout confirms that it can be combined with the relevant quantity offer.

A complimentary gift or shipping promotion may be combined with another offer only where the cart or checkout confirms that the combination is permitted.

If the checkout does not accept a combination, the offers cannot be combined for that order.

11. Complimentary Grip Sock Care Bag

During the current promotion, qualifying orders may receive one complimentary Grip Sock Care Bag.

The qualifying purchase conditions and availability of the gift will be displayed on the relevant:

• Website announcement or banner;
• Product page;
• Promotional page;
• Cart;
• Checkout; or
• Offer notice.

Unless stated otherwise:

• The complimentary Grip Sock Care Bag is limited to one per qualifying order;
• The order must meet the qualifying conditions displayed for the promotion;
• The gift is available only during the stated promotional period or while stocks last;
• The gift is subject to availability;
• The gift has no cash alternative;
• Customers cannot normally choose the colour, design or variation of the gift;
• The gift cannot normally be exchanged or substituted at the customer’s request;
• The gift cannot be added retrospectively to an order placed before the promotion began;
• The gift cannot be added retrospectively to an order that did not qualify at checkout;
• The gift does not count towards the merchandise subtotal used to determine free-shipping eligibility;
• The gift does not count towards any quantity requirement unless expressly stated otherwise;
• The gift must appear in the cart, checkout or order confirmation where the promotional setup requires it; and
• Receipt of the gift is subject to the order continuing to meet all applicable promotional conditions.

NERRA may offer a different complimentary gift during a future promotional period.

The gift displayed on the website, in the cart or at checkout at the time the order is placed is the gift that applies to that order.

The current Grip Sock Care Bag promotion does not create a permanent entitlement to receive the same gift in future orders or promotions.

12. Gift Availability and Substitution

The complimentary Grip Sock Care Bag is subject to availability.

If the advertised gift becomes unavailable before an order is accepted, NERRA may:

• End or suspend the gift promotion;
• Replace the Grip Sock Care Bag with another gift of reasonably comparable promotional value;
• Remove the unavailable gift before accepting the order; or
• Contact the customer where appropriate.

A replacement gift may differ in:

• Product type;
• Colour;
• Design;
• Size;
• Packaging; or
• Promotional value.

Any material change will be reflected in the relevant promotional notice, cart or checkout where reasonably possible.

NERRA will not charge a customer for a complimentary gift unless the customer separately agrees to purchase it.

13. Free Standard Shipping

Free standard shipping is currently available for eligible orders where the merchandise subtotal remains at or above $50 after all applicable product and order discounts have been applied.

This means that:

• Quantity discounts are applied first;
• The eligible 10% first-order discount and any other applicable order discount are then applied;
• The remaining discounted merchandise subtotal must still be at least $50 to qualify for free standard shipping.

Unless otherwise stated:

• Shipping charges do not count towards the qualifying amount;
• Taxes do not count towards the qualifying amount;
• Gift cards do not count towards the qualifying amount;
• Complimentary gifts, including the Grip Sock Care Bag, do not count towards the qualifying amount;
• The threshold applies only to eligible purchased merchandise;
• The order must continue to meet the threshold after any amendment or cancellation;
• Free shipping applies only to eligible delivery addresses;
• Free shipping applies only to the standard shipping method displayed at checkout;
• Express, priority and upgraded delivery methods are excluded; and
• Final eligibility is determined by the cart and checkout.

For example:

If the merchandise subtotal is $55 after the quantity offer but is reduced to $49.50 after the first-order discount, the order will not qualify for free standard shipping.

Where another currency is displayed, the website or checkout may show the corresponding local-market threshold.

The free-shipping eligibility and final shipping charge displayed at checkout apply to the order.

14. Returns Involving Quantity Discounts

Customers retain their applicable return and statutory rights.

Where a customer returns part of an order that received a 4 for 3, 7 for 5 or another quantity-based discount, the refund may be recalculated according to:

• The products retained;
• The products returned;
• The original qualifying quantity;
• The original product prices;
• The discount applied;
• The actual amount paid; and
• The promotional conditions in effect when the order was placed.

If the retained products no longer satisfy the original quantity offer, the refund may be adjusted so that the customer pays the applicable normal price for the products retained.

A refund will not exceed the amount actually paid for the returned products after discounts.

15. Returns Involving the First-Order Discount

Where an order also received a first-order discount or another order-level discount, any refund will be calculated using the amounts actually paid after all applicable discounts were applied.

The first-order discount will not normally be restored or reissued merely because:

• Part or all of the first order is returned;
• The customer requests cancellation after the order has been accepted;
• The customer wishes to use the discount on another order; or
• The customer did not use the full potential value of the discount.

Where NERRA cancels an entire order before fulfilment for reasons not caused by the customer, NERRA may reinstate or reissue the discount where reasonably appropriate, but this is not guaranteed unless required by law.

16. Returns and Free Shipping

If a return or order amendment causes the retained merchandise value to fall below the free-shipping threshold, the treatment of the original delivery charge will be determined in accordance with:

• Applicable consumer law;
• The reason for the return;
• Whether the entire order or only part of it is returned;
• The delivery method originally selected; and
• NERRA’s Returns & Refunds Policy.

Mandatory rights relating to standard delivery charges are not affected.

NERRA will not impose an unfair retrospective shipping charge where doing so is not permitted by law.

17. Returns Involving the Grip Sock Care Bag

If an entire qualifying order is returned, NERRA may request that the complimentary Grip Sock Care Bag is also returned.

Unless otherwise stated, the gift should be:

• Unused;
• Unwashed;
• Clean and undamaged; and
• Returned with its original packaging where reasonably possible.

If only part of an order is returned and the remaining order still meets the gift promotion requirements, the Grip Sock Care Bag does not normally need to be returned.

If the retained order no longer meets the gift promotion conditions, NERRA may request the return of the unused gift.

Any refund adjustment relating to an unreturned gift will be made only where:

• The return requirement was clearly disclosed before purchase;
• The adjustment is permitted by applicable law;
• The adjustment is fair and proportionate; and
• The adjustment does not exceed any promotional value clearly disclosed before purchase.

Nothing in this section limits rights relating to faulty, damaged, incorrect or misdescribed goods.

18. Cancelled, Failed and Incomplete Orders

A promotion applies only to an order that is successfully submitted, paid for where required and accepted by NERRA.

A promotion will not normally apply where:

• Payment fails;
• Payment remains incomplete;
• Checkout is abandoned;
• The order is cancelled before acceptance;
• Fraud or misuse is reasonably suspected;
• Required checkout steps are not completed;
• Products become unavailable; or
• The displayed promotional conditions are not satisfied.

If NERRA cancels an order after payment has been taken, the affected payment will be returned in accordance with NERRA’s Terms of Service.

19. Pricing and Technical Errors

NERRA may correct, suspend or withdraw a promotion where there is an obvious:

• Pricing error;
• Discount-calculation error;
• Website or checkout malfunction;
• Product-eligibility error;
• Duplicate discount;
• Incorrect gift allocation;
• Currency error; or
• Misleading promotional display.

NERRA will not rely on a minor technical error to remove mandatory consumer rights.

Where an error affects an order that has been placed but not yet accepted, NERRA may contact the customer to explain the issue.

If the order cannot be fulfilled correctly, NERRA may cancel the affected order and refund any payment taken.

20. Promotion Misuse

Promotions are intended for genuine personal purchases.

NERRA may refuse, cancel or limit a promotion where it reasonably identifies:

• Fraud;
• Automated or bulk ordering intended to exploit the offer;
• Multiple orders designed to bypass promotional limits;
• Unauthorised resale;
• Use of multiple accounts, identities or email addresses to obtain repeated new-customer discounts or gifts;
• Manipulation of the cart, checkout or discount system;
• False customer information; or
• Other deliberate misuse.

Any action will be taken reasonably and will not affect mandatory consumer rights.

21. Changes and Withdrawal

NERRA may amend, suspend or withdraw a promotion where reasonably necessary.

Reasons may include:

• Product or gift availability;
• Operational changes;
• Technical problems;
• Fraud or misuse;
• Platform, payment or fulfilment-provider requirements;
• Legal or regulatory requirements; or
• Errors in the promotion.

Changes apply prospectively.

A change or withdrawal will not normally remove a promotion correctly applied to an order accepted before the change.
